operated under the domain www.cuddlydating.com ("Website")
and to any correspondence by e-mail or other means between
us and you. Please read these terms and conditions carefully
before using this Website. Using the Website indicates that
you accept these terms as is regardless of whether or not
you choose to register with us as a member and constitutes
you being a party to this Agreement. If you do not accept
these terms, you should not use this Website.
Once you have completed
the online registration procedure, you will become a member
and will have entered into a legally binding contract for
the provision of the CuddlyDating.com service (the "Service").

Eligibility.
You must be eighteen
years of age or over and single to register as a member of CuddlyDating.com
or use the Website. Membership of the Service is invalid where
it has been prohibited. By using the Website, you represent
and warrant that you have the right, authority, and capacity
to enter into this Agreement and to abide by all of the terms
and conditions as laid out in this Agreement. |

Registration
and Subscription / Scope of Service.
You may sign up as a member of the Service free of charge.
As a member you will have the ability to participate in most,
but not all, of the features and services available within
the Service. In order to access additional features and services,
including the ability to communicate with other members, you
must become a paying subscriber to the Service. Please see
our About Us page
for a description of the current subscription rates. This
rate list is part of this Agreement.
Scope of Service.
The Service enables you to contact other members. CuddlyDating.com
is not a marriage brokering service and is not obligated to
successfully broker any other members for you.
Recurring Billing.
We do not continuously
bill you once you are a paying subscriber. At the end of each
subscription term you will need to subscribe again to retain
paid for features.

3.
Term
and Termination.
This Agreement will remain in full force and effect while you
are a member of the Service.
You may terminate your membership at any time, for any reason,
using the cancellation option found when you login to the site.
We may immediately terminate your membership and your access
to the Service at any time because you have breached this Agreement
and will send you notice of termination at the email address
you provide in your application for membership or such other
email address as you may later provide to us.
If you terminate your membership, you will not be entitled to any refund for any remaining time you have paid for but not used. In the case of violation of one or
more of the terms of this Agreement by you (in particular Clauses
6 and 7), we may block your account(s), delete prohibited content,
prevent publication of all or part of your profile. We may also
block your access to all or part of the Service, either permanently
or temporarily.
CuddlyDating.com may remove entirely the accounts of members
who have not used the Service for a period of six months or
more (as calculated by the date of last connection to the Service)
unless you are a paying subscriber. |

Non Commercial
Use by Members.
The Website is for the personal use of individual members only
and may not be used in connection with any commercial endeavors
whatsoever. |
| 5.
Proprietary
Rights in Content on CuddlyDating.com.
CuddlyDating.com owns and retains all proprietary rights in
the Website and the Service. You may not copy, modify, publish,
transmit, distribute, perform, reproduce, license, create derivative
works from, transfer display, or sell or re-sell any such intellectual
property or proprietary information. |

Content
Posted on the Site and Prohibited Content. All textual content and images posted
on the site by you must be honest, truthful, legal, non-sexually explicit, non-harmful
and non copyright infringing in all respects. CuddlyDating.com
accept no responsibility for content posted by its members and
will remove any content it deems breaks this agreement without
notice. By using the Service you completely indemnify CuddlyDating.com
from any legal process arising from your posting of Content. You also agree not to post any personal contact information within your profile, i.e email addresses or phone/fax numbers, skype addresses etc.
You accept that to maintain quality standards and assist your profile in being as attractive as possible we may edit, crop, delete or otherwise alter any images you upload for your profile.
Messages that are sent to you within the system, or messages you send to other members within the system will be deleted after a period of 60 days to maintain system efficiency. |

Prohibited
Activities.
CuddlyDating.com reserves the right to investigate and terminate
your membership if you have misused the Service, or behaved
in a way which could be regarded as inappropriate or whose conduct
is unlawful or illegal. You must conduct your activities on
the Website in a wholly truthful, legal and reasonable manner.

Account
Security. You
are responsible for maintaining the confidentiality of the username
and password that you designate during the registration process
with the Service, and you are fully responsible for all activities
that occur under your username and password. |

Copyright
Policy. You
may not post, distribute, or reproduce in any way any copyrighted
material, trademarks, or other intellectual property or proprietary

Member
Disputes. You
are solely responsible for your interactions with other CuddlyDating.com
Members. CuddlyDating.com reserves the right, but has no obligation,
to monitor disputes between you and other members. |

13.
Service
Access. While

available 24 hours a day, we do not guarantee that it will be

Release.
In the event that you
have any claim or action against any other member arising from
that member’s use of our Website or the Service, you agree to
pursue such claim or action independently of and without any
demands from us, and you release us from all claims, liability
and damages, arising from or in any way connected to the claim
or action.
In the event that a claim or action is brought against us from
your activities or use of the Website or the Service, including
any breach by you of this Agreement or any charges or complaints
made by other parties against you, you agree to pay, hold harmless
and defend us in the claim or action. You also agree to cooperate
as fully as reasonably required in the defence of any claim
and allow us to assume the exclusive defence and control of
the matter. |

Severance.
If any part of this
Agreement is determined to be invalid or unenforceable pursuant
to applicable law including, but not limited to, the warranty
disclaimers and liability limitations set forth above, then
the invalid or unenforceable provision will be deemed superseded
by a valid, enforceable provision that most closely matches
the intent of the original provision and the remainder of the
Agreement shall continue in effect. |

Assignment.

and you may not, assign, convey, subcontract or delegate rights,
duties or obligations hereunder. |

Relationship.
You agree that no joint
venture, partnership, employment, or agency relationship exists
between you and CuddlyDating.com. as a result of this agreement
or use of this Website. |

Disputes.
If there is any dispute
about or involving the Website and/or the Service, by using
the Website, you agree that the dispute will be governed by
the laws of England and Wales without regard to its conflict
of law provisions. You agree to personal jurisdiction by and
venue in the courts of London, United Kingdom. |

Other.
This Agreement, accepted
upon use of the Website and further affirmed by becoming a member
of the Service, contains the entire agreement between you and
CuddlyDating.com regarding the use of the Website and/or the
Service. If any provision of this Agreement is held invalid,
the remainder of this Agreement shall continue in full force
and effect. |
